MCA Annual Filing Requirements for Companies: 2026 Update

Every company incorporated under the Companies Act, 2013 must file annual returns with the Ministry of Corporate Affairs (MCA). Missing deadlines attracts heavy penalties and can lead to the company being struck off the register. Here is the complete 2026 update.

Key Annual Filings for Private Limited Companies **MGT-7A (Annual Return)** — Due within 60 days of the AGM (typically by November 29 for companies with a March 31 year-end). Includes details of shareholding, directors, and key management personnel. **AOC-4 (Financial Statements)** — Due within 30 days of the AGM (typically by October 29). Includes Balance Sheet, Profit & Loss, Cash Flow, and auditor's report. XBRL filing is mandatory for certain classes of companies. **DIR-3 KYC** — Every director must complete annual KYC by September 30 each year. Failure results in DIN deactivation.

Key Annual Filings for LLPs **Form 11 (Annual Return)** — Due by May 30 each year. Lists all partners and their contributions. **Form 8 (Statement of Accounts)** — Due by October 30. Includes Statement of Solvency and a Statement of Accounts. Audit required if turnover exceeds Rs 40 lakh or contribution exceeds Rs 25 lakh.

Penalty Structure (2026) Late filing of AOC-4 and MGT-7 attracts Rs 100 per day per form — with no maximum cap since the Companies (Amendment) Act 2018. A company that delays by 6 months can easily face penalties of Rs 18,000 per form. Directors of companies that have not filed for 3 consecutive years can be disqualified under Section 164(2).

2026 Changes to Watch The MCA has been progressively mandating centralised processing of forms and stricter STP (Straight Through Processing) for certain filings. Companies should ensure their registered office address is current, as physical notices are still sent for show-cause proceedings. The MCA V3 portal is now the primary filing interface — ensure your DSCs are compatible.
